Terms of Service

1. Acceptance of Terms

By accessing or using TradeApprove ("the Service"), provided by TradeApprove ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

TradeApprove is a software-as-a-service platform that enables trade businesses to send variation approval requests to their customers via SMS and email, record customer responses, and generate documentary evidence of approvals.

3. Account Registration

To use the Service, you must register for an account and provide accurate, current information about yourself and your business. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Payment

The Service is provided on a subscription basis at AUD $99.99 per month, billed monthly in advance. New accounts include a 14-day free trial period. Subscriptions auto-renew unless cancelled before the renewal date.

Payment is processed by Stripe. By subscribing, you authorise us to charge your nominated payment method for recurring fees.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except as required by Australian Consumer Law.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of Australian law
  • Send unsolicited or spam messages through the Service
  • Send messages without legitimate business purpose to the recipient
  • Attempt to gain unauthorised access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to harass, threaten, or defraud any person
  • Reverse engineer, decompile, or copy the Service

6. SMS and Email Communications

You acknowledge that when you send variation approval requests through the Service, you are responsible for ensuring you have the recipient's consent to receive SMS and email communications related to your business relationship with them. You must comply with the Spam Act 2003 (Cth) and the Australian Privacy Principles.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by us and protected by Australian and international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your business operations during your subscription.

8. Customer Data

You retain ownership of all data you submit to the Service ("Customer Data"), including business information, customer details, variation records, and approval evidence. You grant us a licence to host, process, and transmit Customer Data solely to provide the Service.

You are responsible for ensuring you have the legal right to provide Customer Data to us, including consent from your customers where required.

9. Service Availability

We aim to provide the Service with high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages (Stripe, Twilio, Resend, Supabase, Vercel), and force majeure events may cause temporary unavailability.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of the Service shall not exceed the fees you have paid us in the 12 months preceding the claim.

Nothing in these Terms excludes guarantees, warranties, or rights you have under the Australian Consumer Law that cannot lawfully be excluded.

11. Termination

We may suspend or terminate your account if you breach these Terms. You may terminate your account at any time by cancelling your subscription. Upon termination, we will retain your data for 30 days, after which it may be permanently deleted.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Australia.
